These Terms of Service (“Terms”) govern your access to and use of the website, online content, forms, communications, and related online services of ATC Nexus LLC (“ATC Nexus,” “we,” “us,” or “our”).

By accessing or using our website, contacting us through the website, submitting information to us, or otherwise interacting with our online services, you agree to these Terms. If you do not agree to these Terms, please do not use our website.

About These Terms and Our Services

Our website provides general information about ATC Nexus and the lead-capture, follow-up, AI voice receptionist, SMS, email, automation, and related communication services we offer to businesses.

Nothing on our website is an offer, guarantee, or binding commitment to provide services. Any paid services we provide are governed by a separate written service agreement, statement of work, order form, proposal, or other written agreement between ATC Nexus and the applicable client. If these Terms conflict with a signed or otherwise accepted written service agreement between ATC Nexus and a client, the written service agreement controls for that client relationship.

Use of Our Website

You may use our website only for lawful purposes and in accordance with these Terms. You agree not to:

  • (a) use the website in any way that violates applicable law or regulation;
  • (b) attempt to gain unauthorized access to, interfere with, damage, disable, overburden, or disrupt the website or its underlying systems;
  • (c) submit false, misleading, fraudulent, or incomplete information;
  • (d) impersonate any person, business, or entity;
  • (e) use the website to send spam, unlawful messages, or unauthorized solicitations;
  • (f) harvest, scrape, or collect information from the website or about other users without authorization;
  • (g) upload or transmit malware, viruses, malicious code, or other harmful materials; or
  • (h) use the website in any way that interferes with its operation, security, or availability.

We may suspend or restrict access to the website if we believe these Terms have been violated or if continued access creates legal, security, operational, or reputational risk.

We do not guarantee any specific number of leads, appointments, conversions, reviews, rankings, revenue, business growth, or other results from our website or services. Any examples, figures, testimonials, case studies, projections, or outcomes described on the website are illustrative only and are not promises or guarantees of results.

Text Messaging, Phone Calls, and Email Communications

If you provide your phone number or email address, we may contact you by phone, text message, email, or similar communication methods in connection with your inquiry, consultation request, account, services, or business relationship with us.

Text Messages. If you provide your mobile phone number and consent to receive text messages, you agree to receive text messages from ATC Nexus. These may include responses to your inquiry, appointment scheduling, appointment reminders, follow-up messages, service-related messages, and information about our services.

Consent to receive marketing text messages is not a condition of purchasing any goods or services. Message frequency may vary. Message and data rates may apply.

To opt out of text messages, reply STOP to any text message you receive from us. For help, reply HELP or contact us using the information below. We may send a confirmation message after receiving an opt-out request.

You must be at least 18 years old to opt in to or use our text messaging program. By providing your mobile number and consenting to receive texts, you represent that you are at least 18 years old and are authorized to provide that number.

Carriers are not liable for delayed or undelivered messages. We do not sell, rent, or share your mobile phone number, mobile opt-in information, or SMS consent with third parties or affiliates for their own marketing purposes.

Marketing Emails. If we send marketing emails or promotional messages, you may opt out using the unsubscribe or opt-out instructions included in the email or by contacting us. We may still send non-marketing communications, such as responses to inquiries, service-related messages, legal notices, or transactional communications.

AI Voice Receptionist and Automated Communications

Our services may include AI voice receptionist, virtual assistant, automated communication, speech-to-text transcription, SMS, email, chat, and similar communication technologies.

If you call a business that uses ATC Nexus services, you may interact with an AI, automated, or virtual assistant. The AI Voice Receptionist may answer inbound calls, assist with scheduling, collect caller information, take messages, generate written call summaries or transcripts, and notify the business owner or designated contact to follow up.

ATC Nexus recommends that AI voice receptionist systems identify themselves at the beginning of the call as an AI, automated, or virtual assistant for the business. For example, the assistant may state that it is the business’s virtual assistant and can help schedule, answer basic questions, or take a message.

Unless otherwise configured or disclosed, ATC Nexus’s standard setup does not intentionally record or store call audio. However, the system may use speech-to-text transcription or similar technology to understand and respond to callers and to generate written transcripts, summaries, or interaction records.

The AI Voice Receptionist is not an emergency response service, dispatch service, medical service, legal service, or substitute for calling 911 or other emergency services. If you are experiencing an emergency, call 911 or the appropriate emergency service provider.

Client Communications and Compliance Responsibilities

Some calls, texts, emails, AI voice interactions, or other communications may be sent, initiated, or facilitated by ATC Nexus on behalf of our business clients.

In those situations, the business client is responsible for its recipient lists, message content, customer relationships, privacy notices, required consents, opt-outs, do-not-call obligations, and legal basis for the communication. ATC Nexus may provide technology, configuration, support, registration assistance, and operational administration, but ATC Nexus does not guarantee that a client’s communication practices, recipient lists, consent practices, campaigns, offers, or use of the services comply with all applicable laws.

Intellectual Property

The website and its content, including text, graphics, logos, designs, layouts, images, videos, software, workflows, templates, processes, and other materials, are owned by ATC Nexus or its licensors and are protected by intellectual property and other laws.

You may access and use the website for your own lawful business purposes. You may not copy, reproduce, modify, distribute, display, publish, create derivative works from, reverse engineer, scrape, harvest, or otherwise exploit any part of the website or its content without our prior written permission.

All rights not expressly granted are reserved by ATC Nexus.

Third-Party Platforms, Links, and Services

Our website and services may rely on or link to third-party platforms and providers, including software, hosting, analytics, payment, telecom, SMS, email, AI, automation, and communication providers. These may include platforms such as GoHighLevel, Stripe, and other third-party providers.

We do not control and are not responsible for the content, availability, security, policies, practices, outages, errors, delays, pricing, changes, integrations, APIs, or functionality of third-party websites, platforms, or services. Your use of third-party websites, platforms, or services is at your own risk and may be governed by their own terms and privacy policies.

ATC Nexus does not guarantee the continued availability of any third-party platform, feature, integration, API, pricing, or functionality and may modify its services as reasonably necessary to accommodate changes made by third-party providers.

Privacy

Your use of our website and interactions with ATC Nexus are also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information. By using our website or submitting information to us, you acknowledge the practices described in our Privacy Policy.

Disclaimer of Warranties

To the fullest extent permitted by law, our website, online content, forms, communications, and related online services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, availability, security, and reliability.

We do not warrant that the website will be uninterrupted, secure, error-free, free of harmful code, or available at any particular time or location.

Limitation of Liability

To the fullest extent permitted by law, ATC Nexus and its owners, members, managers, officers, employees, contractors, agents, vendors, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business, goodwill, data, or opportunities, arising out of or relating to your access to or use of, or inability to access or use, the website, online content, forms, communications, or related online services.

To the fullest extent permitted by applicable law, ATC Nexus’s total liability arising out of or relating to these Terms or your use of the website will be limited to the fullest extent permitted by applicable law. If applicable law does not permit that limitation, ATC Nexus’s liability will be limited to the minimum amount permitted by applicable law.

This Section does not limit or modify the liability terms in any separate written service agreement between ATC Nexus and a client. For paid services, the applicable written service agreement controls.

Indemnification

You agree to indemnify, defend, and hold harmless ATC Nexus and its owners, members, managers, officers, employees, contractors, agents, vendors, successors, and assigns from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • (a) your misuse of the website;
  • (b) your violation of these Terms;
  • (c) your violation of applicable law or the rights of any third party;
  • (d) information you submit through the website; or
  • (e) your unauthorized use of ATC Nexus’s content, systems, or intellectual property.

Changes to the Website and These Terms

We may update, modify, suspend, or discontinue the website or any part of it at any time without notice.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the website after updated Terms are posted means you accept the updated Terms.

Governing Law; Dispute Resolution; Venue

Before filing any legal action, the parties will attempt in good faith to resolve the dispute through informal negotiation for at least thirty (30) days after written notice of the dispute.

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles.

Any unresolved dispute arising out of or relating to these Terms, the website, or our online services will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and each party consents to the personal jurisdiction and venue of those courts.

To the extent permitted by applicable law, the prevailing party in any action to enforce these Terms may recover its reasonable attorneys’ fees and costs.

Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and ATC Nexus regarding your use of the website and supersede any prior or contemporaneous understandings regarding that subject.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or other business transaction.
